Provides strategic legal advice and counsel to one of the nation's leading women's health care organizations. Supports the full range of business activities and transactions with an emphasis on ACOG’s grants, publications, women’s health care access, privacy, employment law, and intellectual property. Researches and interprets existing laws and regulations and anticipated changes to laws to guide informed decisions and reduce risks. Prepares and reviews various agreements, contracts, and other legal documents. As needed, represents the organization in litigation matters, negotiations, and other matters where legal counsel is required. May coordinate with internal and external counsel to address issues requiring specialized legal input. All work will be conducted under the supervision of the General Counsel or Associate General Counsel in the Division.

Provide analysis, advice, and legal counsel to staff regarding all legal aspects of ACOG’s operations and programs. Work closely with members of every department within ACOG to reduce risks while supporting ACOG’s mission-driven business strategies. Advise ACOG on laws and regulations concerning privacy and data use. Review drafts of ACOG publications and communications as requested or required. Identify and mitigate risk areas.
Acts as a senior partner with departments and programs across the organization to provide legal advice on the structure and operation of projects and initiatives.
Addresses complex or nuanced legal questions and problems as they arise.
Negotiate, draft, and/or review contracts with a wide range of complexity, including commercial leases, collaboration agreements, government contracts, subgrant agreements, construction contracts, intellectual property licenses, publishing contracts, information technology contracts, consultant agreements, and HIPAA business associate agreements.
Partners with legal leadership in the representation of ACOG on matters affecting ACOG’s interest. Partners with legal leadership in the preparation of amicus curiae briefs in legal cases of importance to ACOG members and their patients, including cases involving restrictions on access to reproductive healthcare.
Serve as a legal resource for national staff, the districts and sections, Fellows, and the general public. Keep apprised of legal developments affecting the organization. Provide analysis, counsel and advice by interpreting laws, regulations, court decisions, and rules affecting the work of ACOG and the provision of women’s healthcare.
Advise ACOG’s compliance team and national staff. Provide advice, management, and leadership on legal and compliance issues.
Partners with legal leadership in representing ACOG in defending litigation before administrative agencies, state and federal courts, and third-party subpoenas. Partners with legal leadership in representing ACOG in any governmental investigations.
Understands the laws and policies that affect ACOG’s members and the patients they serve.
Perform other duties as assigned.

Required Skills/Abilities

Experience working with health care organizations, non-profit law, data privacy, grants and/or contracts preferred.
Ability to handle a wide range of complex legal issues independently and strategically. Experience with HHS regulations and practice preferred.
Experience exhibiting collaborative partnership.
Excellent verbal and written communications skills.
Excellent problem-solving and analytical skills.
Excellent interpersonal, good judgement and customer service skills.
Excellent organizational skills and attention to detail.
Proficient with Microsoft Office Suite or other related software.

Education and Experience

J.D. from an accredited law school and licensed to practice law.
Minimum 7 years of experience in the practice of law.

Compensation

The base salary for this position is $145,000 - $155,000 per year, commensurate with experience and qualifications. In addition, ACOG offers a comprehensive benefits package that includes the perks outlined below.
